  • Website design, development, and ongoing maintenance;
  • Content strategy, copywriting, and content marketing production;
  • Social media marketing and management;
  • Fractional CMO and marketing leadership advisory; and
  • Dedicated staffing and fully-managed marketing team placements.

The specific scope, deliverables, timelines, and fees for any engagement are set out in the applicable proposal, statement of work, or service agreement signed between you and the Company, which forms part of and is governed by these Terms.

User Obligations

You agree to provide accurate, current, and complete information as reasonably requested to enable delivery of the Services, including brand assets, access credentials to advertising and analytics accounts, and timely feedback or approvals. Delays in providing such information or access may affect project timelines and are not attributable to the Company.

You agree not to misuse the Platform, interfere with its normal operation, attempt unauthorized access to any systems or accounts, or use the Services for any unlawful, infringing, or deceptive purpose.

Intellectual Property

All content on the Website, including text, graphics, logos, designs, campaign frameworks, and software, is the property of the Company or its licensors and is protected by applicable intellectual property laws. Upon full payment for a completed engagement, ownership of final creative deliverables produced specifically for you transfers as set out in the applicable service agreement, excluding any pre-existing tools, templates, or methodologies owned by the Company.

Fees and Payment

Fees for Services are set out in the applicable proposal or service agreement and must be paid in accordance with the agreed schedule. Third-party costs such as advertising media spend, software subscriptions, or licensing fees are billed separately or passed through as agreed in writing. Late payments may result in suspension of Services until outstanding amounts are settled.

Performance Disclaimer

While the Company applies industry best practices to SEO, advertising, and content initiatives, marketing outcomes such as rankings, traffic, lead volume, and conversion rates depend on numerous factors outside the Company's control, including search engine and ad-platform algorithm changes, market conditions, and third-party actions. The Company does not guarantee specific results and makes no warranty that any particular ranking, return on ad spend, or business outcome will be achieved.

Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to your use of the Platform or the Services, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

Termination

The Company may suspend or terminate your access to the Platform or any ongoing engagement at its discretion, including for breach of these Terms, non-payment, or misuse of the Services. Termination of an engagement does not relieve you of the obligation to pay for Services already rendered.

Governing Law
